    PetroEnergy tightens grip on Petrowind

    PetroEnergy Resources Corp. (PERC) is moving to consolidate its stake in renewable energy after signing a Share Purchase Agreement to acquire BCPG Wind Cooperatief U.A.’s entire 40 percent equity interest in PetroWind Energy Inc. (PWEI).

    Under the deal, PetroEnegy will buy out the remaining non-controlling stake in PWEI, effectively lifting its ownership to 90 percent once the transaction is completed. The acquisition strengthens PERC’s economic exposure to PetroWind without altering the company’s control or consolidation status.

    Prior to the transaction, PERC directly owned 20 percent of PWEI, while its 75 percent-owned subsidiary, PetroGreen Energy Corp. (PGEC), held another 40 percent. This gave PetroEnegy an effective 50 percent interest. Foldlowing the acquisition, PetroEnergy’s stake will rise to 60 percent direct ownership, with an additional 30 percent held indirectly through PGEC.

    The move aligns with PetroEnergy’s broader strategy of simplifying its ownership structure while increasing direct participation in its renewable energy assets. By acquiring the remaining non-controlling interest, the company gains greater exposure to PetroWind’s earnings and cash flows, while streamlining governance across its energy portfolio.

    PetroWind Energy Inc. is part of PERC’s growing renewables platform, which includes wind, solar, and geothermal assets. The company has been steadily increasing its footprint in clean energy as it positions itself for long-term growth amid rising demand for sustainable power.

    The Share Purchase Agreement remains subject to customary closing conditions, including the fulfillment of conditions precedent and the receipt of required regulatory approvals. PERC said it will make the appropriate disclosures upon completion of the transaction and as further developments arise.

    The deal underscores PERC’s continued push to deepen its commitment to renewables—favoring cleaner balance sheets, clearer ownership lines, and greater participation in the upside of its green energy investments.
