Holcim exits Philippines in $807M deal with China’s Huaxin

Holcim is selling its Philippine operations to China-based Huaxin Building Materials in a transaction valued at USD807 million, marking a major shift in the ownership landscape of one of the country’s biggest cement producers.

The Swiss building materials giant said it signed an agreement for the initial sale of its 67.6 percent stake in Holcim Philippines for USD527 million. The deal also includes a planned exit of Holcim’s remaining roughly 31 percent stake within three to five years, with a minimum floor price of USD280 million.

The structure allows Holcim to retain potential upside from additional value creation during the transition period, while securing a full divestment path from the Philippine market.

The transaction, which remains subject to customary and regulatory approvals, is expected to close in the first half of 2027.

The sale comes as global construction companies reassess portfolios and capital allocation strategies amid changing market conditions.

The acquisition provides Huaxin a foothold in the Philippines’ long-term infrastructure and construction growth story, where demand for cement remains supported by urbanization, public infrastructure projects, and private sector development.

Holcim Philippines operates among the country’s leading cement manufacturers, with a nationwide presence and established brands serving commercial, residential, and infrastructure projects.

The company has been part of Holcim’s broader Asia portfolio, contributing to the group’s strategy of providing sustainable building solutions.

Holcim said the divestment aligns with its portfolio management approach as it focuses resources on markets and businesses where it sees stronger strategic opportunities.

Headquartered in Zug, Switzerland, Holcim reported net sales of CHF15.7 billion in 2025 and employs more than 50,000 people across 45 countries. The company has positioned sustainability and low-carbon construction solutions as key growth areas through products such as ECOPact and ECOPlanet.
