Antitrust agency clears ABC Energy stake in Alternergy unit

The Philippine Competition Commission (PCC) has approved ABC Energy Inc.’s acquisition of a 40 percent minority stake in Alternergy Tanay Wind Corp. and Alabat Wind Power Corp., ruling that the transaction is unlikely to lessen competition in the country’s fast-growing renewable energy sector.

The clearance allows the investment to move forward after the PCC found no indication that the deal would substantially prevent, restrict or lessen competition in the nationwide generation and supply of renewable energy.

Under the transaction, Alternergy Wind Holdings Corp. will retain a 60 percent controlling stake in both wind power companies and continue to oversee their operations, while ABC Energy comes in as a strategic minority investor.

In its review, the commission noted that the non-auctioned renewable energy generation market remains highly fragmented, with about 222 participants and no single company accounting for more than eight percent of market capacity. The industry’s competitive structure, the PCC said, makes it unlikely that the investment would confer excessive market power on either party.

The regulator also highlighted safeguards under the government’s Green Energy Auction Program. Since both wind projects are covered by 20-year Green Energy Tariff agreements awarded under Green Energy Auction 2, the transaction is not expected to affect competition in future auction rounds. The PCC also noted that Alternergy will continue to make independent strategic and bidding decisions for succeeding renewable energy auctions.

The commission likewise dismissed concerns over potential vertical foreclosure, citing regulations that prohibit retail electricity suppliers from sourcing more than half of their electricity requirements from affiliated generation companies.

The decision reflects the PCC’s increasingly nuanced approach to renewable energy investments, balancing competition oversight with the need to encourage capital for clean energy projects. As the Philippines pursues a more diversified energy mix, regulatory certainty is becoming an increasingly important factor in attracting investors while ensuring the market remains competitive and open to new entrants.
