Manila Water approves P105M share buyback

Manila Water Co., Inc. has approved a share buyback program of up to 3 million common shares, potentially spending up to P105 million to repurchase its own stock in the open market.

The company’s board approved the program on Aug. 14, authorizing open-market purchases at up to P35 per share.

The target volume is relatively modest, equivalent to less than 1 percent of Manila Water’s 2.61 billion outstanding shares. This suggests the program is more about giving management flexibility than mounting a major intervention in the stock market.

Manila Water said the repurchased shares may be used for its Stock Incentive Program or acquired when management determines that the company’s shares are undervalued.

The latter gives the program an interesting strategic wrinkle. Rather than committing to buy a fixed volume immediately, Manila Water has effectively given itself the option to step into the market when it believes its shares are trading below their worth.

At the maximum price of P35, buying all 3 million shares would require P105 million. The actual amount spent, however, will depend on the number of shares acquired and prevailing market prices.

For shareholders, buybacks can be a sign that management sees value in its own stock, while shares held for employee incentives can provide flexibility without requiring the company to immediately issue additional shares.

Still, the scale matters. With the authorized purchases representing less than 1 percent of outstanding shares, the program is unlikely by itself to materially reshape Manila Water’s capital structure.

Instead, it gives the water utility another tool to manage its shares, reward employees, and potentially capitalize on market weakness.

In short, Manila Water is keeping some dry powder for its own stock, but not enough to move the entire market.
