International Container Terminal Services Inc. (ICTSI) is taking full ownership of its Brazilian logistics unit iTracker Logistica Inteligente, acquiring the remaining 30 percent stake in a move that expands its control of the intermodal business serving the Port of Rio de Janeiro.
ICTSI said it signed a Share Purchase Agreement to acquire the stake, raising its ownership in iTracker to 100 percent.
The transaction follows the company’s July 16, 2026 disclosure to the Philippine Stock Exchange, in which it confirmed plans to acquire the remaining interest after responding to a PSE clarification on reports of the deal.
The purchase price, which was negotiated and paid in cash, amounted to less than 10 percent of ICTSI’s consolidated shareholders’ equity as of Dec. 31, 2025, and June 30, 2026.
ICTSI reported consolidated shareholders’ equity of USD2.5 billion at the end of 2025, putting the transaction below the USD250-million threshold based on that financial position.
iTracker operates as a full intermodal logistics provider for users of the Port of Rio de Janeiro, offering services ranging from empty container storage to freight handling, warehousing and transportation.
Its operations include an empty container depot, an export container freight station, general warehousing, a distribution center, and road and railway transportation.
The financial contribution remains modest. ICTSI said iTracker accounts for less than 1 percent of its consolidated financial performance and that the acquisition is not expected to have a material impact on the company’s future financial results.
