    DigiPlus bets big on offline push with HKD1.6B casino deal

    DigiPlus Interactive Corp., the digital entertainment powerhouse behind BingoPlus, ArenaPlus and GameZone, is making a bold leap into the offline arena with a HKD1.6-billion (about P12 billion) deal that could hand it control of Hong Kong–listed International Entertainment Corp. (IEC) and its Manila hotel-casino complex.

    The company signed a convertible notes agreement giving it the right to acquire a controlling economic stake in IEC, owner-operator of the New Coast Hotel Manila, a five-star integrated hotel and casino licensed by the Philippine Amusement and Gaming Corp. The move expands DigiPlus’ entertainment ecosystem by linking its dominant digital platforms with a strategic brick-and-mortar hub for deeper engagement, brand activation and hybrid experiences.

    The Notes will be issued in two tranches of HKD800 million each. DigiPlus may convert the Notes at HKD1.00 per share, which would give it about 53.89 percent of IEC’s outstanding shares. The Notes carry a 3 percent annual interest rate and are redeemable at 108 percent at the end of five years if left unconverted.

    New Coast Hotel Manila, located along Roxas Boulevard, is currently undergoing major renovation, with the casino targeted for completion in January 2026 and the hotel by the third quarter of 2026. The complex features 203 rooms, 96 gaming tables, 495 slot machines and a suite of premium amenities.

    DigiPlus Chairman Eusebio Tanco said the deal accelerates the company’s vision of building a cutting-edge entertainment ecosystem that merges digital innovation with real-world experiences.

    The acquisition remains subject to clearance from Hong Kong regulators, IEC shareholder approval at an extraordinary general meeting, and Philippine Competition Commission review.
