ACEN Corp. is bringing in a new partner for an Indian wind project as the Ayala-led renewable energy company continues expanding its footprint in one of Asia’s fastest-growing clean energy markets.
ACEN subsidiary Unlimited Renewables Holdings B.V. signed a Securities Subscription and Purchase Agreement with Diamond India Renewables One B.V. and a Shareholders’ Agreement with DIRO and UPC Renewables India Management Private Ltd. for the acquisition by DIRO of up to a 49 percent stake in Avana Renewables Private Ltd.
The transaction is expected to close in stages, starting with DIRO acquiring an initial 10 percent voting interest in Avana.
Avana is developing and constructing a 20-megawatt wind power project in Karnataka, India. The project forms part of ACEN’s broader renewable energy portfolio as the company continues to build generating capacity across Asia and other markets.
The transaction will allow ACEN to bring in additional capital and a strategic partner while retaining majority ownership of the project company, assuming DIRO eventually acquires the full 49 percent stake.
The staged structure also means the initial closing will not immediately transfer nearly half of Avana to DIRO. The remaining acquisition will depend on the fulfillment of agreed conditions and the completion of subsequent transaction steps.
Closing remains subject to customary and contractual conditions precedent.
The deal comes as renewable energy developers increasingly look to partnerships and shared ownership to spread construction risks and capital requirements, particularly for projects still moving from development into operation.
For ACEN, the transaction offers a way to recycle capital while retaining exposure to India’s expanding renewable energy market.
The Karnataka project may be small at 20 MW compared with ACEN’s broader portfolio, but such projects can become building blocks for a larger regional strategy. The company’s challenge will be to keep scaling without allowing capital intensity to outrun returns.
In India’s rapidly expanding clean energy market, bringing in a partner may prove as important as bringing turbines online.
