SEC extends discounted fees for MSMEs in capital market

The Securities and Exchange Commission (SEC) has extended its reduced fees for securities registration for micro, small, and medium enterprises (MSMEs) until December 31, 2026, to encourage businesses to raise funds through the capital market.

Under the new memorandum circular, qualified MSMEs will continue to enjoy a 50 percent discount on securities registration fees. This applies to public offerings, as well as streamlined applications for power utilities, real estate developers, agribusinesses, and hospitals.

This discount complements existing incentives: a 20 percent reduction for corporate registration and a 25 percent discount for increasing authorized capital stock (valid until end-2025). Since the program launched in July 2025, the SEC has provided roughly ₱139.6 million in total savings for eligible firms.

MSME eligibility follows the Magna Carta definition: micro (up to ₱3 million in assets), small (up to ₱15 million), and medium (up to ₱100 million). To qualify, firms must submit a signed MSME qualification certificate and meet a minimum paid-up capital of ₱25 million — except for agribusinesses using the streamlined process.
