Zobel’s Top Frontier stake transfer asset management strategy

Businessman Iñigo Zobel has transferred his 199.6 million shares in Top Frontier Investment Holdings Inc., the listed parent company of San Miguel Corp., to his wholly-owned IZ Investment Holdings Inc. as part of a strategic asset management initiative.

The tax-free stock transfer involved 199,599,900 shares valued at P53 each, putting the transaction at about P10.58 billion.

Zobel, chairman and president of IZ Holdings, transferred the shares on Aug. 12, leaving him with just 1,617 Top Frontier shares in his own name. Through IZ Holdings, however, he continues to beneficially own 199,601,517 shares, equivalent to about 52.82 percent of Top Frontier.

The restructuring therefore changes the form of Zobel’s ownership rather than his economic interest or control. As the 100-percent owner of IZ Holdings, he retains sole voting and disposition powers over the shares held by the investment company.

The move comes as Top Frontier’s financial performance reflects a more challenging earnings environment. At the end of June, its shares had a book value of P437.57 each, while earnings per share dropped sharply to P8.16 from P55.59 a year earlier, largely due to a surge in non-operating expenses.

Top Frontier, whose second-biggest stakeholder is Ramon S. Ang, remains a strategically significant holding company, owning nearly 62 percent of San Miguel Corp., one of the country’s largest conglomerates.

IZ Holdings, incorporated in 2013, is authorized to hold and invest in shares, securities, real and personal property, and other assets.

The transfer effectively places Zobel’s substantial Top Frontier position under a dedicated investment vehicle, potentially giving him greater flexibility in managing the asset and other investments.

The tax-free treatment also allows the restructuring to proceed without the tax implications that would normally accompany an outright sale, while preserving Zobel’s beneficial ownership of the stake.
